Tata Sons Postpones AGM as Quorum Falls Short After Chairman's Exit
Tata Sons, the holding company of the Tata Group, adjourned its annual general meeting (AGM) scheduled for August 18 after failing to secure the required quorum, according to an NDTV Profit report. The development comes days after chairman N Chandrasekaran announced that he would not seek an extension of his term.
The adjournment adds to the ongoing leadership transition at one of India's most prominent business conglomerates. Chandrasekaran's decision not to continue has set in motion a formal process to identify his successor. Last week, Tata Trusts, which holds about 66 per cent of Tata Sons, constituted a committee to recommend a new chairman. Among the key contenders is Noel Tata, who currently chairs Tata Trusts.
However, Noel Tata is also scheduled to retire from the boards of six Tata companies in November upon turning 70, in line with the retirement policy for non-executive directors. These companies are Trent, Tata Steel, Titan, Voltas, Tata Investment Corporation and Tata International. However, this does not affect his position on the Tata Sons board, as nominees representing Tata Trusts are exempt from the age-related retirement restriction that applies to other non-executive directors.
According to the NDTV Profit report, the appointment of the next Tata Sons chairman will follow a 'formal committee process prescribed under the Articles of Association of Tata Sons.' This institutional approach is intended to ensure transparency and continuity in leadership selection.
The AGM postponement and the leadership change come at a time when several Tata Group businesses are under review. At a Tata Sons board meeting in May, Chandrasekaran presented plans covering business performance, growth prospects and capital requirements, with particular focus on sectors such as electronics and aviation.
During that meeting, Noel Tata expressed concerns about the performance of some businesses, including Air India and BigBasket, particularly in relation to their losses. Tata Electronics, however, received more favourable assessment in subsequent discussions.
The adjourned AGM is expected to be reconvened at a later date. The delay underscores the transitional phase the group is navigating as it prepares for a change at the top. The formal process for selecting a new chairman is expected to proceed independently of the AGM schedule.
Tata Sons' governance structure and the clarity of its succession process remain closely watched by investors and industry observers. The committee's recommendation, once made, will be a significant step in determining the future direction of the conglomerate's leadership.
