MUMBAI: Tata Sons chairman N. Chandrasekaran on Wednesday announced that he will not seek reappointment when his current term ends on February 20, 2027. The decision comes after a board resolution for his extension failed to get unanimous support, leaving the conglomerate's leadership succession uncertain.

In a statement, Mr. Chandrasekaran said he had communicated to the Tata Sons Board that he would not offer himself for reappointment. He urged the board to decide on succession soon to ensure a smooth transition. “Earlier today, I have communicated to the Tata Sons Board, that I have decided not to offer myself for reappointment when my term ends on February 20, 2027. I have asked the Board to decide on the succession soon to ensure a proper transition,” he said.

Mr. Chandrasekaran, who has spent 40 years at the Tata Group, described leading Tata Sons over the past decade as a “great honour and a profound responsibility.” He expressed gratitude for the opportunity to contribute to the institution.

The background to his decision involves a board meeting held on February 24, 2026. According to his statement, the Sir Dorabji Tata Trust and Sir Ratan Tata Trust had unanimously resolved and recommended a five-year extension for his term. This recommendation was recorded by the Tata Sons Nomination and Remuneration Committee and the board. However, when the resolution was tabled, it was not carried because one board member did not support it. “In the absence of unanimous support, I chose to defer the decision,” he said.

While Mr. Chandrasekaran did not name the dissenting member, reports suggest that Noel Tata, chairman of Tata Trusts and a board member of Tata Sons, had not cleared the reappointment. Six months after that board meeting, no resolution has been reached. Citing the scale of Tata Sons and ongoing strategic projects, Mr. Chandrasekaran said clarity on leadership is essential. “It is not only necessary to have a leader in place to lead the Group beyond Feb 2027, but also clarity on leadership is important for employees, investors, partners and other stakeholders,” he added.

Mr. Chandrasekaran joined the Tata Sons board in October 2016 and was designated chairman in January 2017. He took official charge in February 2017, following the removal of Cyrus Mistry as chairman.

The announcement rattled financial markets. Tata Group stocks fell by up to 4% on Wednesday, with Tata Consultancy Services (TCS) leading the decline, sliding 4.1%. Tata Motors PV, the parent of Jaguar Land Rover, fell 2.8%. The selloff reflects investor concerns about leadership continuity at one of India's largest business conglomerates.

The Tata Group, with interests spanning IT, automobiles, steel, and consumer goods, now faces the task of finding a successor. The board is expected to initiate the process shortly to ensure stability before Mr. Chandrasekaran's tenure concludes.
