Persistent Systems to acquire German digital engineering firm Nagarro in €1.1 billion deal

Pune-based Persistent Systems Ltd., through its wholly owned subsidiary Galaxy Germany Holding SE, has announced a voluntary public takeover offer for all outstanding shares of Munich-based Nagarro SE. The offer is for a cash consideration of €81 per share, valuing the company at approximately €1.1 billion (₹11,820 crore).

Nagarro is a digital engineering company with 18,500 employees across 40 countries. It operates in industrial, consumer, TMT (technology, media, and telecommunications) and BFSI (banking, financial services, and insurance) verticals. The company reported a total revenue of €1 billion in the calendar year 2025.

The offer follows the signing of a Business Combination Agreement between Persistent and Nagarro. According to a company release, the proposed combination is designed to create a scaled, globally diversified AI-led digital engineering and enterprise modernisation powerhouse with a significant presence in North America and Europe, as well as exposure to other regions.

Once combined, the Persistent-Nagarro entity would be better positioned to serve multi-region enterprise clients requiring integrated AI, engineering, ERP/CX, data, and cloud capabilities across local and global delivery models. The combined entity would have a revenue of $2.9 billion and over 46,000 employees across more than 40 countries.

Anand Deshpande, Founder, Chairman and Managing Director of Persistent Systems, stated that AI is reshaping the industry at an unprecedented pace. He noted that success will belong to companies that combine deep technical capability with global reach while attracting and developing exceptional people. He expressed confidence that together, Persistent and Nagarro will be better positioned to help clients navigate this new era and create greater opportunities for their teams.

Sandeep Kalra, Executive Director and CEO of Persistent Systems, described the combination as a defining milestone in their journey to build a global, engineering-led technology services leader. He emphasised that the next wave of enterprise transformation will be defined by AI, engineering excellence, and global scale.
